The only downsides I could see is the sync'ing is a bit tedious unless you are super diligent. Some of the estimates on distance is off (obviously it does not factor in leg length/etc) - when I am on the treadmill for a mile, it does not register as a mile. That could be something off with the treadmill, but the treadmill uses the lapsed belt as the distance whereas the fit bit uses an estimate of probable distance based on the number of steps and your height. 2 people of the same height can cover different distances based on varying ratios of height:leg length and also whether your stride is longer/short due to running v walking also.
